Background
The U.S. Corporate Transparency Act (CTA) was enacted in 2021 and became effective January 1, 2024. It was ostensibly passed to enhance transparency in entity structures and ownership to combat money laundering, tax fraud, and other illicit activities like funding of terrorist organizations.

The text of the Corporate Transparency Act can be found through the link provided to the left. It was passed as part of an omnibus bill that included defense funding among other things. The stated reason for the Act was to cut down on money laundering, financial crimes, illicit activities such as human trafficking, funding of terrorist organizations, etc.
There are some exceptions to filing that can be found in the link to the left. These exceptions include certain not-for-profit entities, accounting firms involved in auditing of public entities, insurance or financial services entities, large businesses and some limited others. The vast majority of small to medium businesses are required to file their beneficial owner information reports or face massive penalties and potentially federal prosecution.
